1. The Program. This Affiliate Program lets approved partners (“Partner,” “you”) earn a commission by referring new paying subscribers to Noon Scout using a unique referral link and/or a personal discount code. Acceptance into the program is at Noon Scout’s sole discretion.
2. Commission structure. Your commission rate and type (one-time on a referred customer’s first payment, or recurring on every payment they make while subscribed) are set individually for your account and confirmed to you once your application is approved. Noon Scout may change the rate or type for future earnings at any time, with notice; commission already earned under the previous terms is unaffected.
3. Qualifying referrals. A referral is credited to you when someone signs up after clicking your link (tracked for 30 days) or by using your assigned discount code, and only converts into a commission once they complete a real, successful payment. Signups, trials, or cancellations with no completed payment never earn a commission.
4. Payment terms. Commission is calculated on each qualifying payment and becomes eligible for payout 45 days after that payment clears — a holding period that accounts for refunds, disputes, or chargebacks. Eligible commission is paid out manually, on a monthly basis, to the bank account or PayPal address you provide. You’re responsible for keeping your payout details accurate and up to date; Noon Scout isn’t responsible for a payment sent to details you provided incorrectly.
5. Refunds and reversals. If a referred customer’s payment is later refunded, reversed, or disputed before the 45-day holding period ends, the associated commission is voided and will not be paid.
6. Promotional conduct. You agree to represent Noon Scout honestly and not to: send unsolicited bulk email (spam) to promote your link; bid on Noon Scout’s own brand name in paid search advertising; make false, misleading, or unsubstantiated claims about the product; use bots, incentivized clicks, or any artificial means to inflate signups or clicks; or impersonate Noon Scout in any communication. A violation of this section is grounds for immediate termination and forfeiture of unpaid commission.
7. Independent contractor. You participate in this program as an independent contractor, not as an employee, agent, or partner of Noon Scout in any legal sense. You’re solely responsible for reporting and paying any taxes owed on commission you earn.
8. Termination. Either party may end this arrangement at any time, for any reason. Commission already earned on qualifying payments made before termination will still be paid on its normal schedule, unless termination is for a violation of Section 6, in which case any unpaid commission is forfeited.
9. Changes to these terms. Noon Scout may update these terms from time to time; continued participation in the program after an update constitutes acceptance of the revised terms.
